【Abstract】
As is well known, the UK Corporate Governance Code and Stewardship Code have served as models for Japanese Corporate Governance Code and Stewardship Code, and the most recent trend is that the UK Corporate Governance Code was revised in 2024 and the UK Stewardship Code will be reformed in 2025. Notably, FRC published the new UK Stewardship Code 2026 on 3rd June 2025. For this reason, the revisions to both Codes have become a topic of great interest in Japan as well. As part of the joint research project “Comparative Study of Corporate Law and Capital Market Legislation in Commonwealth Countries” conducted by the Commonwealth Countries Corporate Law and Capital Market Legislation Study Group, we invite Ms Maureen BERESFORD, Director of the Financial Reporting Council (FRC), who is is responsible for Corporate Governance Code and Stewardship Code, to give a lecture on the recent revisions to both Codes, which attracts great interest in Japan, and their impact on corporate governance and shareholder engagement. The topic of the lecture will be “Recent reform in the Corporate Governance Code and the Stewardship Code in the UK and its implications to CG and SS Codes of Japan”. After Ms Beresford’s lecture, there will be a Q&A session with participants to explore the implications for Corporate Governance and Stewardship activities in Japan.
The language will be English, however, during the Q&A session, Professor Nobuo Nakamura (Faculty of Commerce, Waseda University and Moderator of this workshop), and Professor Hiroyuki BANDO, Nagoya (Faculty of Law, Nagoya Gakuin University and Visiting Researcher of Institute of Comparative Law), would support to provide interpretation when necessary.
