| 要旨 | This study focuses on the antecedents of shareholder dissent in elections of outsider directors in Japanese firms. Specifically, we examine whether there are any differences between female and male director candidates in shareholders’ dissenting votes when they have multiple board positions. We predict that shareholders cast lower dissenting votes for female multiple-board candidates, but not for male candidates. We theorize that this is because shareholders evaluate female and male candidates differently, and female candidates’ multiple board experience mitigates a gender bias based on gendered role perceptions thereby conferring pragmatic legitimacy. We also posit that such a differential effect of director multiple board positions is further moderated by director-, firm-, and industry-level factors that influence the extent to which shareholders appreciate female director candidates’ multiboard experience: directors’ legal and accounting background, the adoption of takeover defense measures, and high levels of industry uncertainty. This study contributes to research on board gender diversity, multiboard directors, and shareholder response to female director candidates. |
